Egerton, McAfee, Armistead & Davis, P.C. has served the greater Knoxville community since 1932. The attorneys at Egerton, McAfee engage primarily in the practice of corporate civil law, with an emphasis on tax and business matters. The firm is seeking a transactional attorney to join our collaborative and talented transactional team. This attorney will have the opportunity to continue growing their practice while benefiting from an already established client base.

The successful candidate will have between three (3) and five (5) years of experience as an attorney with transactional, commercial and real estate experience in some or all of the following areas: organizational structuring, financing/investment, acquisitions/dispositions, M&A, health care M&A, leasing, land use and zoning, construction, commercial lending, and tax.

Roles and Responsibilities
:

  • Draft and negotiate purchase and sale agreements, letters of intent, leases, easements, covenants, amendments to any of the foregoing, etc. for commercial transactions.
  • Engage in due diligence related to commercial transactions and otherwise shepherd a deal from agreement to closing, including preparing and negotiating closing documents, tracking critical dates, and reviewing due diligence, including business contracts, title, survey and environmental reports, etc.
  • Facilitate closings and complete post-closing documentation and administration.
  • Draft and review complex operating agreements or bylaws, shareholders' agreements, property management agreements, NDAs, indemnity agreements, and other client contracts
  • Navigate and lead complex commercial transactions.
  • Draft, review, and negotiate various commercial agreements and contracts.
  • Provide legal support and advice to clients.
  • Ensure client compliance with legal requirements and company policies.
  • Stay updated on industry trends and changes in regulations.
  • Coordinate with other team members, including attorneys, paralegals, and staff members.
  • Effectively organize and maintain client files.


Skills and Competencies

  • Three (3) years of experience as an attorney with transactional experience.
  • Demonstrated analytical and problem-solving skills.
  • Strong verbal and written communication to effectively advocate for and work with various types of clients is vital.
  • Willing to contribute, collaborate, and support established practice area in a fast-paced growing environment.
  • Able to problem solve, resolve, and close open issues and assist staff and colleagues with resolving issues that arise.
  • Skilled at meeting strict deadlines under significant time pressure.
  • Able to manage time and resources effectively and independently, and balance conflicting priorities.
  • A high level of professionalism, integrity, and ability to work with a dynamic, collaborative, and high-performing team.
  • With client-driven service being a critical focus, the candidate will be expected to provide prompt and quality service, including thoughtful and responsive guidance to clients and an excellent work product.
